Terms of Service

These Terms of Service ("Terms") govern your use of the Porchy mortgage operating system platform provided by Porchy Technology LLC ("Porchy," "we," "us"), a Michigan limited liability company located at 455 E Eisenhower Pkwy, Suite 300, Ann Arbor, MI 48108. By accessing or using Porchy, you agree to these Terms.

1. Use of the Platform

Porchy grants you a limited, non-exclusive, non-transferable license to use the platform for your internal business purposes. You may not resell, sublicense, or reverse engineer the platform. You are responsible for all activity under your account and must maintain the confidentiality of your credentials.

2. Acceptable Use

You agree to use Porchy only for lawful purposes and in compliance with all applicable laws, including GLBA, ECOA, TRID, RESPA, and fair lending regulations. You may not use Porchy to process information for any purpose other than legitimate mortgage lending operations.

3. Data Ownership

You own your data. Porchy processes your data solely to provide and improve the service. Upon termination, you may request a full export of your data. We retain GLBA-required audit logs for the legally required period regardless of subscription status.

4. Compliance

While Porchy provides tools designed to assist with regulatory compliance, you remain solely responsible for ensuring your business operations comply with all applicable laws and regulations. Porchy's compliance features are tools, not legal advice.

5. Payment

Subscription fees are billed monthly or annually as agreed. Fees are non-refundable except as required by law. We reserve the right to suspend access for non-payment after 10 days notice.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PORCHY'S TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. PORCHY IS NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

7. Termination

Either party may terminate this agreement with 30 days written notice. We may terminate immediately for material breach. Upon termination, your access to the platform ceases and we will provide a data export upon request.

8. Governing Law

These Terms are governed by the laws of the State of Michigan, without regard to conflict of law principles. Disputes shall be resolved in the courts of Washtenaw County, Michigan.
